Welcome to Apyia, Inc. ("Apyia," "we," "us," or "our"). By using our Services, you agree to these Terms and Conditions ("Terms"). Please read them carefully. If you do not agree, do not use our Services.

1. About the Service

Apyia, Inc. is an online travel club available via mobile applications (iOS and Android) and the web (collectively, the "Services"). We provide curated travel content, recommendations, and links that allow members to explore and book travel products offered by third-party providers.

2. Affiliate Disclosure

Some links within the Services are affiliate links. This means that if you choose to book travel through these links, we may earn a commission from the travel provider, at no additional cost to you.

Affiliate relationships do not affect the price you pay or the availability of travel products. We strive to recommend options that offer value to our members, but final booking decisions and transactions occur directly with third-party providers.

3. Third-Party Providers and Bookings

When you click a booking link, you will be redirected to a third-party website or application operated by an independent travel provider. Your booking is governed by that provider's terms, conditions, and privacy practices.

Apyia, Inc. is not responsible for:

• Pricing accuracy or changes
• Availability or inventory updates
• Booking confirmations
• Cancellations, refunds, or disputes
• Service interruptions, delays, or errors

Any issues related to your booking must be resolved directly with the applicable provider.

4. No Guarantees or Warranties

Travel information, pricing, and availability change frequently. While we strive to present accurate and current information, we do not guarantee the accuracy, completeness, or reliability of any content displayed in the Services.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.

5. User Responsibilities

By using the Services, you agree to:

• Use the Services for lawful purposes only
• Review and comply with third-party provider terms before booking
• Provide accurate information when creating an account

You agree not to:

• Misuse the Services
• Attempt to interfere with platform functionality
• Use the Services for fraudulent or abusive purposes

5.1 Accounts

To use certain features of our Services, you may be required to create an account and provide accurate, current, and complete information. You are responsible for:

• Safeguarding your login credentials
• Notifying us immediately of any unauthorized use

Apyia reserves the right to suspend or terminate accounts that violate these Terms.

6. Member Contributions & Travel Bucks

Apyia members may make monetary contributions to their Apyia account, which are credited as Travel Bucks — Apyia's virtual travel credit. Contributions are processed securely via our PCI-compliant payment processor (Stripe) and may be made by credit/debit card or bank account (ACH).

How Travel Bucks Work: Travel Bucks are held as account credits intended for use toward travel. Members may redeem Travel Bucks back to their bank account as cash at any time. Once redeemed, funds can be applied toward travel bookings made through Apyia's third-party travel partners.

Redemptions: To process a Travel Bucks redemption, Apyia will collect your bank account information directly. This information is encrypted and stored securely, and access is strictly limited to authorized Apyia personnel. Redemption requests are processed manually by our team.

Contribution schedules, vesting terms, and applicable fees are governed by your selected plan terms.

7. Intellectual Property

All content, branding, software, and design elements associated with the Services are owned by or licensed to Apyia, Inc. and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, Apyia, Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising from:

• Your use of the Services
• Travel bookings made through third-party providers
• Delays, cancellations, overbookings, or service failures

Our total liability shall not exceed the amount paid by you to us (if any) in the twelve (12) months preceding the claim.

9. Termination of Access

We reserve the right to suspend or terminate your access to the Services, with or without notice, if:

• You violate these Terms
• Your conduct disrupts our platform or other users

Upon termination, your account will be deactivated and any pending arrangements may be affected subject to third-party provider terms.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any legal disputes must be resolved in the appropriate courts of California.

If any part of these Terms is deemed unenforceable, the remainder shall remain in full force.

11. Changes to These Terms

We may update these Terms at any time. If we make material changes, we will provide notice (via email or our platform) at least 30 days before the new Terms take effect.

Continued use of our Services after updates indicates your acceptance of the revised Terms.
